File a Final Wisconsin Sales and Use Tax Return

Selling a company and closing a seller's tax account are separate steps. Confirm which accounts stop and which activities continue.

Milwaukee Business Brokers Hub provides seller preparation resources. This guide covers how to file a Final Wisconsin Sales and Use Tax Return and what to discuss with your advisors.

Confirm What Has Actually Ended

A sale of assets can leave the seller responsible for its existing account. A sale of ownership interests may leave the same entity operating. Do not assume every sale requires the same account closure.

Identify the last sales date for each affected location and reconcile taxable transactions through that date. Review the treatment of assets sold as part of the deal separately.

Wisconsin DOR says a final sales and use tax return is due within 30 days of closure. Ask your tax preparer to confirm the date that applies to your situation.

A question to bring to your advisor

Does the proposed closing date match the date the seller actually stops making taxable sales?

Close the Loop on the Account

File required returns for periods when the business was active. Account closure does not replace a final return or settle an unpaid balance.

DOR provides an account closure request through My Tax Account. Keep the submission confirmation and a record of any remaining return or payment tasks.

Give your preparer a final transaction summary rather than only the purchase price. Equipment, inventory and continuing locations can require separate review.
